With millions of users worldwide, Replit is democratizing software development by removing traditional barriers to application creation.We're seeking an experienced Commercial Counsel to join our growing legal team and serve as a strategic partner to our rapidly expanding enterprise sales organization.

In this high-impact role, you'll drive complex commercial negotiations that fuel our growth, working closely with our sales teams to close sophisticated technology agreements with enterprise customers across diverse industries.

You'll play a critical role in scaling our commercial legal processes while navigating the evolving landscape of AI-powered development tools and ensuring our customers can confidently deploy Replit's platform in their organizations.What You'll DoDrive Enterprise Deals: Serve as the lead legal advisor for complex, high-value enterprise sales transactions, working directly with our Account Executives and customer legal teams to negotiate and close sophisticated software agreementsNavigate AI & Technology Compliance: Help enterprise customers understand and navigate the legal and regulatory implications of adopting AI-powered development tools, addressing data privacy, security, and compliance requirements across various industriesBuild Scalable Frameworks: Design and implement contract playbooks, template agreements, and streamlined processes that enable our sales team to move quickly while maintaining legal rigor as we scaleRisk Management: Identify, analyze, and proactively manage complex commercial and legal risks while maintaining deal velocity in our fast-paced, high-growth environmentCross-Functional Partnership: Collaborate closely with Product, Engineering, Security, and Privacy teams to ensure our commercial offerings align with product capabilities and regulatory requirementsStrategic Advisory: Provide strategic guidance to leadership on commercial legal matters, emerging AI regulations, and market trends affecting developer tools and enterprise software adoptionCustomer Relationship Building: Foster strong relationships with enterprise customer legal teams, becoming a trusted advisor who helps facilitate smooth adoption of Replit's platformYou Might Be a Good Fit If You HaveLegal Foundation: JD from an accredited law school and active membership in at least one U.S. state barCommercial Experience: 5-7 years of relevant legal experience supporting enterprise software sales and complex commercial transactions, preferably at high-growth technology companiesTechnology Focus: Strong background in SaaS agreements, software licensing, and technology transactions, with bonus points for experience with AI/ML tools, developer platforms, or cloud infrastructureDeal Velocity: Proven track record of successfully closing complex, multi-stakeholder deals in fast-paced environments while balancing legal risk with business objectivesBusiness Acumen: Exceptional business judgment and ability to provide practical, solutions-oriented legal advice that enables (rather than blocks) commercial successCommunication Skills: Outstanding written and verbal communication abilities, with experience presenting to and influencing C-level executives and enterprise customer stakeholdersStartup DNA: Thrives in ambiguous, rapidly evolving environments where you'll need to build processes from the ground up and adapt quickly to changing prioritiesCollaboration: Collaborative mindset with a track record of building strong cross-functional relationships and supporting high-velocity sales processesBonus Points If You HaveIn-House Experience: Previous in-house counsel experience at technology companies, particularly those serving enterprise customers or developer audiencesAI/Developer Tools: Experience with AI, machine learning, or developer platform companies, including understanding of the unique legal considerations around code generation and AI-assisted developmentIndustry Knowledge: Experience working with enterprise customers in regulated industries or understanding of compliance requirements across different sectorsScale Experience: Experience supporting sales teams through hypergrowth phases, including building legal processes that scale with rapid revenue expansionThis is a full-time role that can be held from our Foster City, CA office.
